1. Purpose

These Terms of Service (hereinafter "ToS") define the terms and conditions for the use of Charlie, the AI scientific assistant for researchers and laboratories available on the website (hereinafter "the Website"), as well as the rights and obligations of the parties in this context. Charlie is an AI scientific platform dedicated to biomedical research and life sciences. They are accessible and printable at any time via a direct link at the bottom of the Website's homepage.

2. Service Operator

The Website and Services are operated by Emerit Science SAS, a simplified joint-stock company with a share capital of 25,000 euros, registered with the Le Havre Trade and Companies Register under number 984 135 473, with its registered office at 85 boulevard de Strasbourg, 76600 Le Havre, France and offices at 74 route de Lyons la Forêt, 76000, Rouen, France and at 17 rue Claude Bloch, 14076, Caen, France.

3. Access to the Website and Services

The Website and Services are freely accessible to any User with Internet access. All costs related to accessing the Website and Services, whether hardware, software or Internet access costs, are exclusively borne by the User. The User is solely responsible for the proper functioning of their computer equipment and their Internet access.

Emerit Science uses all reasonable means at its disposal to ensure quality access to the Website and Services, but is under no obligation to achieve this. Emerit Science cannot be held liable for any malfunction of the network or servers or any other event beyond reasonable control that would prevent or degrade access to the Website or Services.

4. Acceptance of Terms of Service

Use of the Website and Services implies full and complete acceptance of these ToS. By accessing the Website and using the Services, the User unconditionally accepts these ToS. Any User who does not agree to be bound by these ToS must not use the Services or access the Website.

5. Registration on the Website

5.1 Account Creation

Certain Services require prior registration by the User. Registration involves creating a personal and confidential account providing access to a personal space (hereinafter "Account"). The User must provide accurate, complete and up-to-date information during registration. They agree to regularly update their personal information.

5.2 Login Credentials

Upon registration, the User chooses a username and password. These credentials are personal and confidential. The User agrees to keep their credentials secret and not to disclose them in any form. The User is fully responsible for the use of their credentials, except in cases of fraudulent use not attributable to them. In case of loss or theft of credentials, the User agrees to inform Emerit Science without delay.

6. Description of Services

Charlie is an intelligent research assistant powered by artificial intelligence, allowing users to conduct searches, analyze scientific documents, generate content and organize their research information. Services include in particular:

• Search and analysis of scientific publications
• Generation of summaries and syntheses
• Bibliography organization
• Scientific writing assistance

6.1 User-Generated Content

The User retains all rights to the content they create, upload or generate through the Services. By using the Services, the User grants Emerit Science a limited license to process, store and display this content solely for the purpose of providing the Services.

7. Paid Services

7.1 Subscriptions

Certain Services are offered as paid subscriptions. Current rates are indicated on the Website. Emerit Science reserves the right to modify its rates at any time, it being understood that the applicable rate is the one in effect at the time of order validation by the User.

7.2 Payment

Payment for Services is made by credit card or any other payment method offered on the Website. Payments are secured by certified payment service providers. Payment data is not stored by Emerit Science.

7.3 Renewal

Subscriptions are automatically renewed for identical periods, unless cancelled by the User under the conditions provided in Article 19. The User is informed by email before each renewal.

7.4 Right of Withdrawal

In accordance with Article L. 221-18 of the French Consumer Code, the User has a period of fourteen (14) days from the date of subscription to exercise their right of withdrawal without having to justify reasons or pay any penalty. The right of withdrawal may be exercised online via the contact form available on the Website or by email.

7.5 Refund

In the event of exercise of the right of withdrawal, Emerit Science undertakes to refund the full amount paid by the User within fourteen (14) days of receipt of the withdrawal notification, using the same payment method as used for the initial transaction.

8. Data

Emerit Science attaches great importance to the protection of personal data. The terms for processing personal data are detailed in the Privacy Policy accessible on the Website. The User is invited to review it.

Scientific data and documents uploaded by the User are stored securely and are used only to provide the Services. Emerit Science undertakes not to disclose, sell or rent this data to third parties without the explicit consent of the User.

9. User Obligations

The User agrees to comply with the following obligations:

9.1 Compliant Use

The User agrees to use the Website and Services in accordance with these ToS and applicable regulations. The User specifically agrees not to use the Services for illegal or unauthorized purposes.

9.2 Accurate Information

The User agrees to provide accurate, complete and up-to-date information during registration and to keep it updated throughout their use of the Services.

9.3 Account Security

The User is responsible for maintaining the confidentiality of their login credentials and for all activities that occur on their account.

9.4 Lawful Content

The User agrees not to upload, publish or transmit through the Services any illegal, harmful, threatening, defamatory, obscene, or otherwise objectionable content.

9.5 Respect for Intellectual Property Rights

The User agrees to respect the intellectual property rights of Emerit Science and third parties. They must not copy, modify, distribute or create derivative works from the Website content without authorization.

9.6 No Unauthorized Commercial Use

The User agrees not to use the Services for commercial purposes without the prior written authorization of Emerit Science.

9.7 No Reverse Engineering

The User agrees not to attempt to decompile, disassemble or reverse engineer any part of the Services.

9.8 No Unauthorized Access

The User agrees not to attempt to gain unauthorized access to computer systems or networks connected to the Services.

9.9 Breach Notification

The User agrees to immediately notify Emerit Science in the event of a security breach or unauthorized use of their account.

10. User Warranty

The User indemnifies Emerit Science against all complaints, claims, actions and/or demands of any kind that Emerit Science may suffer as a result of the User's violation of any of their obligations or warranties under these ToS. The User agrees to compensate Emerit Science for any damages it may suffer and to pay all costs, charges and/or penalties that it may have to bear as a result.

11. Prohibited Conduct

It is strictly prohibited to use the Website or Services for the following purposes:

11.1 Infringement of Third-Party Rights

Infringing intellectual property rights or other rights of third parties, distributing counterfeit content or content violating the right to privacy or personal image rights.

11.2 Distribution of Unlawful Content

Distributing illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially, ethnically or otherwise objectionable content.

11.3 Service Disruption

Disrupting or interrupting the Website, Services or servers or networks connected to the Services, or violating the requirements, procedures, rules or regulations of networks connected to the Services.

11.4 Misuse

Using the Services in an abusive manner, including attempting to access the Services by means other than the interface provided by Emerit Science, or using bots, spiders, scrapers or other automated means to access the Services.

12. Penalties for Breaches

In the event of a breach of any provision of these ToS or more generally of any infringement of applicable laws and regulations by a User, Emerit Science reserves the right to take any appropriate measures, including:

• Suspending or terminating access to the Services for the User who committed or participated in the breach or infringement;
• Removing any content posted on the Website in violation of these ToS;
• Publishing on the Website any informational message that Emerit Science deems useful;
• Notifying the competent authorities;
• Initiating any legal proceedings.

13. Liability and Warranty of Emerit Science

13.1 Limitation of Liability

Emerit Science undertakes to provide the Services with due diligence and in accordance with best practices, it being specified that it bears an obligation of means, to the exclusion of any obligation of result, which the Users expressly acknowledge and accept.

13.2 Services Provided "As Is"

The Services are provided "as is" and "as available". Emerit Science does not guarantee that the Services will be uninterrupted, secure or error-free. Use of the Services is at the User's own risk.

13.3 AI-Generated Content

The Services use artificial intelligence to generate content. Emerit Science does not guarantee the accuracy, completeness or relevance of the generated content. The User is responsible for verifying and validating all generated content before use.

13.4 User Content Liability

Emerit Science is not responsible for content uploaded or shared by Users through the Services. The User is solely responsible for the content they create, upload or share.

13.5 Interruptions and Modifications

Emerit Science reserves the right to interrupt, modify or suspend, temporarily or permanently, all or part of the Services, without notice or compensation.

13.6 Disclaimer of Warranties

To the fullest extent permitted by law, Emerit Science disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

13.7 Limitation of Damages

To the fullest extent permitted by applicable law, Emerit Science's total liability to the User for all damages arising from or related to the Services shall not exceed the amount paid by the User to Emerit Science during the twelve (12) months preceding the event giving rise to the liability.

14. Cybersecurity

14.1 Security Measures

Emerit Science implements appropriate technical and organizational measures to protect data and systems against unauthorized access, loss, destruction or alteration.

14.2 Encryption

Sensitive data is encrypted in transit and at rest. Connections to the Website use the HTTPS protocol to secure communications.

14.3 Data Backup

Emerit Science performs regular data backups to ensure their availability in the event of an incident.

14.4 Breach Notification

In the event of a data breach likely to pose a risk to the rights and freedoms of the User, Emerit Science undertakes to notify this breach as soon as possible in accordance with applicable regulations.

14.5 User Responsibility

The User is responsible for the security of their own equipment and credentials. They must use a strong password and keep it confidential.

14.6 Security Updates

Emerit Science undertakes to keep the Services up to date with the latest security patches and to actively monitor potential threats.

15. Intellectual Property

The Website and Services, as well as all elements composing them (texts, images, logos, databases, software, etc.), are the exclusive property of Emerit Science or are the subject of a usage authorization. Any reproduction, representation, modification, publication or adaptation of all or part of the Website or Services elements, regardless of the means or process used, is prohibited without prior written authorization from Emerit Science.

Any unauthorized exploitation of the Website, Services or any of the elements they contain shall be considered as constituting infringement and shall be prosecuted in accordance with the provisions of Articles L.335-2 et seq. of the French Intellectual Property Code.

Emerit Science reserves the right to insert on any page of the Website and in any communication to Users any advertising or promotional messages in a form and under conditions that Emerit Science shall determine at its sole discretion.

18. Third-Party Links and Websites

The Website may contain hyperlinks to third-party websites. Emerit Science exercises no control over these websites and is not responsible for their content, privacy policies or practices. The User acknowledges and agrees that Emerit Science shall not be liable, directly or indirectly, for any damages or losses caused or alleged to be caused by or in connection with the use of or reliance on any content, goods or services available on or through such third-party websites or resources.

Any hyperlink pointing to the Website must be the subject of prior written authorization from Emerit Science. This authorization may be revoked at any time.

19. Duration of Services, Unsubscription

The Services are subscribed for an indefinite period. The User may unsubscribe at any time and without reason by going to their account management page or by contacting Emerit Science customer service.

In the case of a paid subscription, unsubscription will take effect at the end of the current billing period. No pro-rata refund will be made for the current period.

Unsubscription results in the deletion of the User's account and the erasure of all associated data in accordance with the Privacy Policy, subject to legal retention obligations.

20. Modifications

Emerit Science reserves the right to modify these ToS at any time. Modifications will take effect upon their publication on the Website. The User will be informed of any substantial modification by email or by notification on the Website.

Continued use of the Services after publication of modifications constitutes acceptance of the new ToS. If the User does not accept the modifications, they must stop using the Services and unsubscribe.

21. Language

These ToS are written in French. In the event of translation into one or more languages, only the French text shall prevail in case of dispute.

22. Applicable Law and Jurisdiction

These ToS are governed by French law. In the event of a dispute and in the absence of an amicable agreement, the dispute shall be brought before the competent French courts.

In accordance with Articles L.612-1 et seq. of the French Consumer Code, consumer Users have the right to free recourse to a consumer mediator for the amicable resolution of a dispute with Emerit Science. To this end, Emerit Science offers recourse to any consumer mediator whose contact details will be communicated upon request.

23. Effective Date

These Terms of Service take effect from their publication on the Website and apply to all Users of the Services from that date.
